GENERAL TERMS AND CONDITIONS OF SALE (GTCS)

MaxiFlow Sports Club

Article 1 — Purpose

These General Terms and Conditions of Sale (hereinafter the “GTCS”) govern the sale of subscriptions to the MaxiFlow Sports Club service, a SaaS platform for sports club management, accessible online by subscription.

Article 2 — Service Seller

The MaxiFlow Sports Club service is marketed by:

Article 3 — Scope of Application

These GTCS apply to any subscription taken out by a professional or non-profit client, to the exclusion of any consumer.

Any subscription implies full and unconditional acceptance of these GTCS

Article 4 — Subscription Offers

🔹 STARTER CLUB offer

• Price: €100 excl. VAT / month
• Commitment: 12 months (after trial period)
• Limit: up to 150 users
• Included storage: 50 GB
• Access
  • full access to the 30 modules,​
  • web interface (computer & tablet),
  • mobile application,
  • e-learning included
• Support: standard email support (24 h)

🔹 PRO CLUB offer

• Price: €200 excl. VAT / month
• Commitment: 12 months (after trial period)
• Limit: up to 300 users
• Included storage: 200 GB
• Access
  • full access to the 30 modules,​
  • web interface (computer & tablet),
  • mobile application,
  • e-learning included
• Support: standard email support (8 h)

🔹 ELITE CLUB offer

• Price: €300 excl. VAT / month
• Commitment: 12 months (after trial period)
• Users: unlimited
• Included storage: 300 GB
• Access
  • full access to the 30 modules,​
  • web interface (computer & tablet),
  • mobile application,
  • e-learning included
• Support: premium standard email support (1 h)

Article 5 — Free Trial

A free trial of seven (7) days, with no commitment, is offered for each subscription offer.

At the end of this period, the subscription becomes payable unless cancelled before the end of the trial.

Article 6 — Storage Options

Additional storage may be subscribed to as an option:

• €5 excl. VAT / 10 GB / month

This option is billed monthly and linked to the main subscription.

Article 7 — Pricing and Invoicing

Prices are expressed in euros, excluding taxes (excl. VAT).​

Invoicing is carried out monthly, for the entire duration of the annual commitment, based on the subscribed offer and options.

Article 8 — Payment Terms

Payment terms are specified at the time of subscription.

Any delay or failure in payment authorises MAXIFLOW SOLUTIONS LTD to suspend access to the service until full settlement.

Article 9 — Commitment and Duration

After the trial period, any subscription is taken out with a firm and irrevocable commitment of twelve (12) months.

The client undertakes to pay all monthly fees due for this period.

Article 10 — No Right of Withdrawal

As the service is reserved for professionals and associations, no right of withdrawal applies, in accordance with applicable law.

Article 11 — Renewal

At the end of the initial commitment period, the subscription is automatically renewed unless termination is notified before the annual expiry date.

Article 12 — Termination

Termination may only take place at the end of the annual commitment period.​

Any early termination gives rise to no refund, whether total or partial.

Article 13 — Suspension for Non-Payment

In the event of non-payment, MAXIFLOW SOLUTIONS LTD reserves the right to:

• suspend access to the service,​
• limiter certaines fonctionnalités, until full payment of the amounts due.

Article 14 — Liability

MAXIFLOW SOLUTIONS LTD shall not be held liable for consequences resulting from non-compliant use of the service by the client.

Article 15 — Applicable Law

These GTCS are governed by:

• European Union law.
• and French law, as the reference law for contractual interpretation.
